Noktoo Terms of Service

These Terms of Service ("Terms") govern your access to and use of Noktoo's website (noktoo.com) and mobile application (together, the "Service"), operated by Noktoo ("Noktoo," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract under Philippine law to use Noktoo. By using the Service, you represent that you meet these requirements.

2. What Noktoo Is

Noktoo is a community-first platform that connects freelancers and clients in the Philippines. Through the Service, users can create profiles, post and apply for freelance jobs, message one another, and participate in interest-based communities.

Noktoo is a platform, not a party to agreements between users. Any work arrangement, contract, payment, or agreement made between a freelancer and a client is solely between those users. Noktoo is not responsible for the conduct of any user, the quality or legality of any work performed, or the fulfillment of any agreement between users.

Payments. At this time, Noktoo does not process payments between freelancers and clients on your behalf. Any payment arrangements made between users are handled independently and at the users' own risk. If and when Noktoo introduces in-platform payment processing, these Terms will be updated accordingly.

3. Your Account

You agree to:

• Provide accurate, current information when creating your account
• Keep your login credentials secure and not share your account with others
• Maintain only one account per person
• Notify us promptly of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use Noktoo to:

• Post false, misleading, fraudulent, or illegal content
• Harass, threaten, or discriminate against other users
• Post spam, unsolicited advertising, or unrelated commercial content
• Impersonate any person or entity
• Scrape, crawl, or use automated means to access the Service without permission
• Upload viruses, malware, or other harmful code
• Circumvent any security or access restrictions of the Service
• Use the Service for any purpose that violates applicable Philippine or international law

We may remove content or restrict, suspend, or terminate accounts that violate these Terms, at our discretion.

5. User Content

You retain ownership of the content you post on Noktoo (profile information, job posts, messages, community posts, etc.) ("User Content"). By posting User Content, you grant Noktoo a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute that content as necessary to operate and provide the Service.

You are solely responsible for your User Content and represent that you have all necessary rights to post it. Noktoo does not pre-screen all User Content but may remove content that violates these Terms or applicable law.

6. Reporting and Moderation

If you encounter content or behavior that violates these Terms or our community guidelines, you can report it by contacting support@noktoo.com. We will review reports and take appropriate action, which may include removing content, warning users, or suspending or terminating accounts.

7. Intellectual Property

The Noktoo name, logo, brand, website, and application (excluding User Content) are owned by Noktoo and protected by applicable intellectual property laws. You may not use Noktoo's branding without our prior written permission.

8. Account Termination

You may delete your account at any time through Account Settings in the app, or via our Account Deletion page.

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or harmful activity, or for any other reason at our reasonable discretion, with or without notice.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. Noktoo does not warrant that the Service will be uninterrupted, error-free, or secure, or that any job, freelancer, or client will meet your expectations.

Noktoo does not guarantee the accuracy, quality, safety, or legality of job postings, freelancer qualifications, or any content posted by users. You interact with other users and engage in work arrangements at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, Noktoo and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of income, profits, or data, arising from your use of the Service or any interaction with other users, even if advised of the possibility of such damages.

Noktoo's total liability for any claim arising from these Terms or the Service is limited to the greater of (a) the amount you paid Noktoo in the past 12 months, or (b) PHP 1,000.

11. Indemnification

You agree to indemnify and hold Noktoo harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your User Content, your violation of these Terms, or your interactions with other users.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the Philippines.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
